Terms of Service

1. Acceptance of Terms

By accessing, browsing, or using XL Unlocker ("the Service"), available at xlunlocker.com, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, you must immediately discontinue use of the Service. These Terms constitute a legally binding agreement between you ("User", "you") and XL Unlocker ("we", "us", "our").

2. Description of Service

XL Unlocker is a browser-based tool that removes sheet-level password protection, workbook structure protection, read-only recommendations, write protection flags, and VBA macro project passwords from Microsoft Excel files (.xlsx and .xlsm format). All processing occurs entirely within your web browser using client-side JavaScript — no files are uploaded to any server. 3. Eligibility

You must be at least 13 years old (or 16 in the European Economic Area) to use the Service. By using the Service, you represent and warrant that you meet this age requirement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

4. User Responsibilities and Acceptable Use

By using the Service, you represent, warrant, and agree that:

  • You own the file or have explicit, documented authorization from the file owner to remove its protection.
  • You will not use the Service for any unlawful purpose, including but not limited to unauthorized access to third-party files, circumvention of copyright protections, or violation of computer fraud laws.
  • You will not attempt to reverse-engineer, decompile, disassemble, or otherwise derive the source code of the Service.
  • You will not use automated scripts, bots, or crawlers to access the Service.
  • You will not attempt to interfere with, disrupt, or overload the Service or its infrastructure.
  • You are solely responsible for any consequences arising from your use of the Service, including any legal liability.
  • You will comply with all applicable local, state, national, and international laws and regulations.

5. Free and Paid Services

The Service currently offers a free tier allowing a limited number of file unlocks per day. We may introduce paid plans or features in the future. Any paid services will be subject to additional terms, including our Refund Policy, which will be clearly communicated before purchase. We reserve the right to modify, suspend, or discontinue any free or paid features at any time without prior notice.

6. Intellectual Property

The Service, including its design, source code, graphics, logos, text content, and all related intellectual property, is owned by XL Unlocker and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works based on the Service or any part thereof without our prior written consent. All trademarks, service marks, and trade names used in the Service are the property of their respective owners.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that: (a) the Service will meet your specific requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) the results obtained from the Service will be accurate or reliable; (d) the Service will remove all types of protection (file-open encryption passwords using AES-256 cannot be removed); or (e) the output file will be fully functional in all Excel versions or third-party spreadsheet applications.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL XL UNLOCKER, ITS OPERATORS, AFFILIATES, OR CONTRIBUTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR USE OF OR INABILITY TO USE THE SERVICE; (B) ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA; (C) ANY THIRD-PARTY CONDUCT ON THE SERVICE; OR (D) ANY OTHER MATTER RELATING TO THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR $50 USD, WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify, defend, and hold harmless XL Unlocker, its operators, affiliates, and contributors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) your violation of any applicable law or regulation.

10. DMCA and Copyright

XL Unlocker respects intellectual property rights. If you believe that content accessible via our Service infringes your copyright, please submit a DMCA takedown notice to support@xlunlocker.com including:

  • A description of the copyrighted work you claim has been infringed.
  • A description of the material you claim is infringing and its location on the Service.
  • Your contact information (name, address, email, phone number).
  • A statement that you have a good faith belief that the use is not authorized.
  • A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner.
  • Your physical or electronic signature.

11. Third-Party Services

The Service may integrate with or contain links to third-party services (such as Google Analytics). These third-party services have their own terms of service and privacy policies. XL Unlocker is not responsible for the content, accuracy, or practices of any third-party services. Your interactions with third-party services are solely between you and the third party. 12. Termination

We reserve the right to suspend or terminate your access to the Service at any time, for any reason, without prior notice or liability. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

13. Modifications to Terms

We reserve the right to modify these Terms at any time at our sole discretion. Changes will be posted on this page with an updated revision date. It is your responsibility to review these Terms periodically. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms. Material changes may be communicated through a notice on the Service.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

15. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and XL Unlocker regarding your use of the Service and supersede all prior agreements, understandings, and communications, whether written or oral.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved in the courts of competent jurisdiction. You consent to the personal jurisdiction of such courts.
